Is Your Company Saleable?

Thursday, May 13th, 2010

Over 90% of small businesses that are “For Sale” become a “No Sale“  because the owners did not build their entities to be sold. These businesses were established to make a profit, and planning to sell in the future was not an initial consideration.

When preparing to sell a business, owners need to gather a wide variety of information for potential buyers to review. Financial, legal, marketing, and operational records all need to be prepared for examination. Buyers will not only come to your place of business to see your operation, but they will ask to see every scrap of information you’ve ever (or never) collected about your business: cash flows, customer base, marketing spends, equipment purchases, management team background, litigation, tax returns, and a whole lot more. They want to be able to follow a “blueprint”. Even after all of these documents are provided be prepared for the potential buyer to make additional requests.

Besides keeping meticulous records here are some other things that you must consider:

Go Mini’s, a leader in the the portable moving and storage industry, has a few of its independently owned and operated dealership territories for sale. If you are considering a new business venture in the moving and storage industry, go to www.gominis.com under Become a Dealer, Available Territories to find more information.

Doing Business As (DBA)

Monday, May 3rd, 2010

(Part 2) How do you get one?

In most states, registration is handled at the county level, and each county may have different forms and fees for registering a name. Call your county clerk’s office to find out the local fees and procedures in your area, or go on-line to States Attorney General Office for general information.

The procedure is fairly simple:  you perform a search through your county  database to make sure the name is not already in use, then fill out and file a short form, along with the correct filing fee (anywhere from $10 to $50). You may do this on-line through an online company, but you will have to for the service plus your filing fee.

Since all Go Mini’s dealers are privately owned they use the DBA in their company titles. Example:  San Diego Portable Storage, DBA Go Mini’s. If you are considering a new business in the moving and storage industry, go to www.gominis.com under Become a Dealer for more information.

Doing Business As (DBA)

Wednesday, April 28th, 2010

(Part 1) Why do you need one?

DBA registration is required if you anticipate collecting money under a name other than your own name or your true corporate name. DBA registration is necessary if your company conducts any business under a name other than your own name (for sole proprietors) or its legal name (for state-level entities such as corporations and LLCs). Also, banks generally require a DBA registration in order to open a business bank account.

If you are planning to operate a series small home companies, or a chain of bagel shops, you might set up a corporation with a generic name, such as ABC Enterprises, and then file an assumed name for each home company or bagel shop.  Since there is significant expense in filing and maintaining a corporation, this helps control costs while still allowing you to expand your business.

Since all Go Mini’s dealers are privately owned they use the DBA in their company titles. Example:  San Diego Portable Storage, DBA Go Mini’s. If you are considering a new business in the moving and storage industry, go to www.gominis.com under Become a Dealer for more information.
